Overview
genmedsupplies.net (the "Site") is operated by GenMed Supplies LLC ("GenMed Supplies," "we," "us," or "our"). These Terms of Service ("Terms") apply when you use the Site, create an account, or purchase products from us online or by invoice. By using the Site or placing an order, you agree to these Terms, our Privacy Policy, Shipping Policy, and Refund Policy. If you do not agree, do not use the Site.
The Site is hosted on Shopify, which provides the e-commerce platform.
1. Business customers; professional use
We sell medical devices and supplies to healthcare practices, facilities, and professionals for professional use. By placing an order, you represent that you are purchasing on behalf of a healthcare business or as a licensed healthcare professional, that you are authorized to bind that business, and that the products will be used by or under the direction of appropriately licensed and trained healthcare professionals in accordance with the manufacturer's instructions for use.
Some devices may be labeled for sale by or on the order of a licensed practitioner under federal law. You are responsible for complying with all federal, state, and local laws that apply to your purchase, storage, and use of the products.
2. Accounts and pricing
Some pricing, including group-purchasing (GPO) pricing, is available only to approved accounts. We may approve, decline, or close accounts at our discretion. You are responsible for keeping your login credentials confidential and for all activity under your account. Prices are in U.S. dollars and may change without notice. Any discounts or account pricing apply only as stated for your account or invoice.
3. Products and product information
Our RF cannulas, RF electrodes, grounding pads, spinal needles, and epidural needles are U.S. FDA-cleared medical devices. We try to describe products, specifications, and images accurately, but we do not guarantee that all descriptions are complete, current, or error-free. Always follow the manufacturer's labeling and instructions for use. Nothing on the Site is medical advice.
4. Orders
Placing an order is an offer to buy. All orders are subject to acceptance and product availability from our suppliers. We may refuse or cancel any order, or limit quantities, including orders that appear to be placed by unauthorized purchasers. If we cancel an order after payment, we will refund the amount paid.
5. Payment and invoices
Payment is due at checkout for online orders. For orders we invoice, payment is due as stated on the invoice. You agree to provide current, complete, and accurate purchase and account information. Applicable sales tax will be added unless you give us a valid exemption or resale certificate.
6. Shipping and risk of loss
Shipping methods, charges, and timing are described in our Shipping Policy. Products ship directly from our suppliers. Title and risk of loss pass to you when the products are delivered to the carrier for shipment to you.
7. Returns and refunds
Returns and refunds are governed by our Refund Policy.
8. Warranties and disclaimer
Products are covered only by any warranty provided by their manufacturer, which we pass through to you to the extent permitted. EXCEPT AS EXPRESSLY STATED IN THESE TERMS, AND TO THE FULLEST EXTENT PERMITTED BY LAW, THE SITE AND PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," AND GENMED SUPPLIES DISCLAIMS ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, GENMED SUPPLIES AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR REVENUE, ARISING FROM YOUR USE OF THE SITE OR PRODUCTS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO AN ORDER WILL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCTS GIVING RISE TO THE CLAIM.
10. Indemnification
You agree to indemnify and hold harmless GenMed Supplies and its owners, employees, and agents from claims, losses, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms, your violation of any law, or your use, storage, or handling of the products other than in accordance with the manufacturer's instructions for use.
11. Prohibited uses
You may not use the Site for any unlawful purpose; to resell products in violation of law or manufacturer restrictions; to interfere with the Site's security or operation; or to submit false or misleading information.
12. Intellectual property
Site content, including text, graphics, and logos, belongs to GenMed Supplies or its licensors and may not be copied or used without permission. Manufacturer names and trademarks belong to their respective owners.
13. Third-party links and services
The Site may link to or use third-party services (such as payment processors and carriers). We are not responsible for third-party websites or services, and your use of them is subject to their terms.
14. Governing law
These Terms are governed by the laws of the State of Oklahoma, without regard to its conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Cleveland County, Oklahoma.
15. Changes to these Terms
We may update these Terms from time to time by posting the revised version on this page. Your continued use of the Site or placing an order after changes are posted means you accept the revised Terms.
16. Severability; entire agreement
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. These Terms and the policies referenced above are the entire agreement between you and GenMed Supplies regarding the Site and your purchases, unless we have a separate signed written agreement with your organization, which will control where it conflicts with these Terms.
